NEOTERIC BRANDS, INC. — REVIEWFETCH & LEADFETCH TERMS OF SERVICE
Version rf-lf-tos-v4 · Effective November 2, 2026 | Last Updated: November 2, 2026

Welcome to Neoteric Brands, Inc. ("Neoteric Brands," "we," "us," or "our"). By accessing the ReviewFetch or LeadFetch program, approving artwork, or enrolling in a subscription or on-demand plan, you ("Client," "Customer," or "you") agree to these ReviewFetch & LeadFetch Terms of Service ("Terms").

1. PROGRAM OVERVIEW & PROMOTIONAL USE
ReviewFetch and LeadFetch combine custom-branded pet treat bags—produced to our published house formula specifications in an SQF-certified facility in Georgetown, Texas—with hosted QR-code web pages designed to facilitate customer reviews, owner feedback, and promotional lead generation for home service companies, real estate agencies and brokerages, and other commercial businesses.
Included Software License: Access to the hosted ReviewFetch and/or LeadFetch web pages and client dashboard is included in the price of your treat bags for as long as you maintain an active plan or remaining printed inventory.
Promotional Giveaway Only (No Retail Resale): Products ordered under this program are designed and sold strictly for promotional giveaway to your customers and prospective leads. You agree not to sell or distribute these bags in retail commerce. You remain the distributor of record for all bags distributed under your brand.
No Legal or Regulatory Advice: While we provide standard label elements, layout templates, and hosted web tools, Neoteric Brands does not provide legal, regulatory, marketing compliance, or insurance advice.

2. PRINT RUN COMMITMENT, SUBSCRIPTIONS & THE "LOCK DATE"
Because custom packaging is printed in increments of 100 bags (100, 200, 300, etc.), enrolling in a subscription or ordering under this program carries a binding commitment to purchase and take delivery of the full quantity of bags ordered printed for your account (or the actual quantity printed if a production run yields fewer bags, as detailed in Section 7).
Plan Options: You may purchase an On-Demand order (in increments of 100 bags, paid and shipped at once with no recurring schedule) or enroll in a recurring Subscription for 25 to 500 bags per shipment (in increments of 25 bags) on a monthly or quarterly cadence. Any shipment size under 100 bags requires a subscription.
The Print Commitment: Our printer produces bags in multiples of 100. Each print run is sized to the fewest hundreds required to cover your upcoming shipment(s) after accounting for the printed bags already in your inventory, with any leftover bags carried forward into your subsequent shipments. By starting or continuing a subscription, you commit to taking and paying for the full quantity of bags ordered for each print run across your scheduled shipments:
Monthly Plans (Initial Two-Shipment Print Commitment): Because initial production takes approximately 6 weeks, a monthly subscription requires your initial print run to cover your first two monthly shipments so your second delivery arrives on time. Therefore, enrolling in a monthly plan commits you at signup to the fewest hundreds required to cover your first two shipments (for example, 200 bags for a 100-bag monthly plan, 500 bags for a 225-bag monthly plan, or 1,000 bags for a 500-bag monthly plan).
Quarterly Plans: Enrolling in a quarterly plan commits you at signup to the fewest hundreds required to cover your first shipment.
The exact print commitment quantity is displayed on the checkout page before you agree.
Schedule Start: Your initial production run takes approximately 6 weeks from initial payment and order setup. Your recurring shipment schedule (monthly or quarterly) begins upon the delivery of your first shipment, not on your signup date.
The Lock Date, Automatic Reprints & Early Print Requests: To prevent gaps in your delivery schedule, our platform establishes a "Lock Date"—which falls 7 weeks prior to the first scheduled shipment that your remaining printed inventory cannot cover. Unless you cancel or pause your plan prior to the Lock Date (or if your account has an unpaid balance), your next print run (sized to the fewest hundreds needed to cover your next shipment after your existing inventory) will automatically go to print on the Lock Date, locking in your commitment to purchase and take delivery of that new print run. Your Lock Date is displayed on your dashboard from day one, and we will send a reminder email 30 days prior to the Lock Date (provided your first shipment has been delivered). You may also elect via your dashboard to send your next print run to production earlier than the scheduled Lock Date (for example, to replenish stock sooner after an extra order); if you trigger an early print run, your commitment to purchase and take delivery of that new print run locks in immediately upon confirmation.
Ordering Extra Bags ("Order More"): Subscribers may order additional bags at any time from their existing printed inventory, billed immediately at your plan's per-bag tier price plus shipping, without altering your regular shipment schedule. If an extra order reduces your remaining inventory such that it crosses your Lock Date, you will be notified and required to confirm before placing the order, and your next print run will be sent to print immediately upon confirmation.

3. BILLING, RECURRING PAYMENTS & SHIPPING FEES
Payment is accepted strictly via credit or debit card on file (processed through Stripe).
Initial & Recurring Charges: Your first shipment is charged upon enrollment prior to the start of production. For all subsequent subscription shipments, you authorize Neoteric Brands to automatically charge your saved payment method three (3) days prior to each scheduled shipment date for the applicable bag tier price plus shipping.
Multi-Address Splitting & Shipping Rates: Shipments may be split across multiple delivery addresses in increments of 25 bags. Shipping is calculated per parcel with a minimum parcel charge, meaning splitting shipments across multiple addresses will increase total shipping costs.
Failed Payments: If a scheduled card charge fails, your shipment will be placed on hold. Our payment processor will automatically retry the charge over a 7-day period, with reminder notifications sent to you on Days 0, 3, and 6. If payment is not resolved by Day 7, our team will intervene, and we reserve the right to suspend your hosted QR pages or liquidate/charge for remaining committed inventory. We will never initiate an automatic reprint while a shipment remains unpaid.

4. PLAN CHANGES, PAUSING, PRICE ADJUSTMENTS & CANCELLATION MECHANICS
You may manage your subscription directly through your client dashboard subject to the following rules:
Stopping Future Reprints (Before the Lock Date): If you select the option to stop after your current print run (e.g., "Stop after these [N]") prior to your Lock Date, no new print run will be ordered. Your remaining committed bags will continue to ship and bill on your regular schedule until your print commitment is fulfilled (any remaining committed balance under a full shipment size will ship and bill as a final order), after which your subscription will end.
Pausing: Once every printed bag from your current run has been delivered—and prior to the Lock Date for the next run—you may pause your subscription. No charges or reprints will occur while paused until you resume.
Ending the Plan Early (Immediate Buyout): You may end your subscription early at any time by purchasing the remaining balance of your current print commitment at once (the committed bags ordered printed for your account, less the bags you have already paid for, or the actual remaining bags printed if the run yielded fewer). Upon confirmation, those remaining committed bags will be charged immediately that day as a single final order (at your current tier's per-bag price plus shipping) and shipped together. Any surplus bags from printer overrun beyond your committed quantity will be optionally offered to you at a 20% discount, which you may accept or decline (see Section 7). If the buyout charge fails on your card, your plan status remains unchanged.
Changing Quantity or Cadence: Any changes to your shipment size (from 25 to 500 bags, in increments of 25) or cadence (monthly or quarterly) will take effect on the first shipment after your current printed inventory runs out, at the new tier's applicable pricing.
Price Changes: Neoteric Brands reserves the right to adjust subscription pricing or shipping rates. Any price change will apply only to future print runs and will never affect the unit price of bags already printed in your current run. We will notify you by email at least fourteen (14) days prior to your next Lock Date before any price increase takes effect. If you do not wish to continue at the new price, you may elect to stop your plan prior to the Lock Date; your remaining committed bags will ship out on schedule at your existing price, and your plan will then end without a reprint.

5. DESIGN APPROVAL, UPDATES & PRE-PRINT ADJUSTMENTS
Each client account includes one custom bag design and one assigned QR code.
Approval & Liability: Nothing is printed without your approval. Your written or digital approval of artwork finalizes the design for production and transfers full responsibility for all approved label text, layout, and claims to you.
Design Updates vs. Lock Dates: If you submit or request a design update, the new proof must be fully approved prior to your Lock Date (or prior to any early print date you initiate) to be included in your upcoming reprint. A pending or unapproved design update will not delay or hold an automatic reprint on the Lock Date; the existing approved design will print, and the updated design will apply to the following print run.
Pre-Print Technical Adjustments: Following your final approval, Neoteric Brands reserves the right to make technical updates, formatting corrections, or adjustments to standard required label components (including guaranteed analysis panels, ingredient statements, net weight declarations, distributor designations, and QR code placement/scannability) prior to printing. Such corrections do not require re-approval and do not alter your responsibility for approved branding.

6. HOSTED QR PAGES, DATA PRIVACY & MARKETING COMPLIANCE
Data Ownership & Platform Rights: When a homeowner or consumer submits information (such as their name, email, phone number, address, or survey responses) via a hosted ReviewFetch or LeadFetch page, you retain full ownership of that customer relationship and lead for your business operations. At the same time, you acknowledge and agree that Neoteric Brands independently collects and retains the data submitted through the hosted platform for platform operations, analytics, service delivery, and its own business and commercial purposes, provided that Neoteric Brands will never sell or share your identifiable customer leads with any competing home service or real estate business.
Client Compliance & Communications Liability: With respect to your use of homeowner data, you operate as an independent data controller and are solely responsible for complying with all applicable privacy, telemarketing, and anti-spam laws (including the Telephone Consumer Protection Act (TCPA) and CAN-SPAM Act) when contacting, texting, calling, or emailing homeowners.
Voucher & Offer Fulfillment: You are solely responsible for honoring, fulfilling, and clearly stating the terms, conditions, and restrictions of any discounts, vouchers, or promotional offers advertised on your LeadFetch page.
Review Platform Compliance: You agree not to use ReviewFetch to violate Google's Terms of Service or FTC guidelines regarding consumer endorsements (such as practicing prohibited "review gating" or offering undisclosed or unlawful incentives gated strictly on positive reviews). Neoteric Brands provides a neutral routing tool and bears no liability for how your technicians present the bags or how third-party review platforms moderate your business profile.
Point-of-Collection Disclosures: You acknowledge and agree that Neoteric Brands will display a standard consumer privacy disclosure and link to the Platform Privacy Notice on the hosted ReviewFetch and LeadFetch web pages governing how submitted information is collected and used by your business and Neoteric Brands. You agree not to use homeowner data in any manner inconsistent with that notice or applicable law.
Service Availability: While we strive to maintain 99.9% uptime for hosted QR pages, we do not guarantee uninterrupted software availability and are not liable for lost leads or reviews resulting from temporary hosting outages or third-party API changes (e.g., Google Maps/Business Profile updates).

7. SHIPPING, WARRANTY, PRINT YIELD VARIANCE & RECALLS
Transfer of Risk: Products leave our warehouse on a FOB Georgetown, Texas basis. Risk of loss, damage, spoilage, and handling responsibility transfer to you once your parcel is handed off to the carrier. Please inspect shipments upon arrival and notify us within 24 hours of visible carrier damage.
Product Warranty: We warrant that products leave our facility free from material manufacturing defects in materials and workmanship, produced in an SQF-certified facility. Report suspected factory defects in writing within 30 days of delivery. Upon confirmation, our sole liability—and your exclusive remedy—is replacement product or an account credit, at our option.
Digital Print Tolerances: Minor variations in color, tone, saturation, and alignment are inherent to digital printing and do not constitute a defect. Custom packaging includes a 5% technical quality tolerance.
Production Yield Variance (Subscriptions & On-Demand): Custom packaging production yields naturally fluctuate by up to +/- 10% on print runs under 1,000 bags and +/- 5% on print runs of 1,000 bags or more:
Subscription Commitment Cap: You commit to the quantity of bags we order printed for your account, not a higher number delivered by the printer. If a print run yields fewer bags than ordered, your commitment for that run is reduced to the actual quantity printed.
Surplus Bags During an Active Subscription: While your subscription remains active, any extra bags produced beyond the ordered print quantity are held in your inventory and shipped out in your subsequent scheduled shipments at your standard plan price, which naturally pushes back the Lock Date for your next print run.
Surplus Bags When a Subscription Ends: When your subscription ends (whether stopped prior to a Lock Date or ended early via buyout), you are only required to take and pay for the remaining balance of your ordered print commitment (less what you have already paid for). Any extra bags remaining from printer overruns beyond your committed quantity will be offered to you optionally at a 20% discount off your plan's per-bag price, which you may choose to purchase or decline.
Shortages on Subscription Shipments: If a print run yields fewer bags than ordered and a scheduled shipment cannot be filled in full, we will ship the available bags and charge you only for the exact quantity shipped. Any remaining bags needed to complete that shipment will ship with your next scheduled shipment (and if you already paid for those missing bags at initial signup, they will ship at no additional charge).
On-Demand Orders: For one-time On-Demand orders, yield shortages are credited toward a future order, and yield surpluses up to the variance threshold may be purchased optionally at a 20% discount.
Recalls: You hold sole authority to initiate a voluntary recall of products bearing your brand. Both parties agree to notify each other within 48 hours of any safety event. Neoteric Brands covers replacement product costs only if a recall is directly caused by a verified factory manufacturing defect.

8. RIGHT OF REFUSAL, INTELLECTUAL PROPERTY & NON-SOLICITATION
Right of Refusal: We reserve the right, in our sole discretion, to refuse, cancel, or terminate any order, subscription, or account if a client breaches these Terms, if submitted artwork or hosted offer content is—in our sole judgment—unlawful, deceptive, infringing, or otherwise something we decline to produce or host, or for any operational reason.
Supplier IP: All pet treat formulas, recipes, packaging structures, and the ReviewFetch/LeadFetch software platform, QR routing architecture, and page templates remain the exclusive intellectual property of Neoteric Brands. You agree not to reverse engineer our formulas or software.
Non-Solicitation: During your relationship with Neoteric Brands and for twelve (12) months following your last shipment, you will not directly or indirectly solicit, recruit, hire, or attempt to engage any of our employees, contractors, suppliers, or manufacturing partners for any business purpose independent of Neoteric Brands.
Client IP: Your logos, brand identity, and custom designs remain yours. You grant us permission to use your brand assets to fulfill your orders, host your QR landing pages, and display completed packaging in our marketing portfolio.

9. LIMITATION OF LIABILITY & INDEMNIFICATION
LIMITATION OF LIABILITY: TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEOTERIC BRANDS' TOTAL LIABILITY ARISING OUT OF THIS PROGRAM OR ANY SHIPMENT SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY (OR THE AMOUNT PAID FOR YOUR MOST RECENT PRINT RUN, WHICHEVER IS LESS). WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES (INCLUDING LOST LEADS, LOST REVIEWS, LOST PROFITS, OR BUSINESS INTERRUPTION).
Indemnification: You agree to defend and hold harmless Neoteric Brands, Inc. and its team from any third-party claims, liabilities, fines, or expenses arising from your branding, promotional vouchers, technician conduct, homeowner communications, privacy/TCPA compliance, product distribution, or breach of these Terms (except where directly caused by Neoteric Brands' gross negligence or willful misconduct).

10. GOVERNING LAW & JURISDICTION
These Terms are governed by the laws of the State of Texas. Any legal proceedings arising from these Terms will be handled exclusively in state or federal courts located in Travis County, Texas.

11. MODIFICATIONS TO TERMS & ELECTRONIC ACCEPTANCE
Modifications to Terms: We may update these Terms from time to time to reflect operational, legal, or program changes. If we make material changes, we will notify active subscribers via email (or through a dashboard notice) at least fourteen (14) days prior to the effective date. Updated Terms will apply to your subscription starting with your next Lock Date or subsequent order following the effective date. By allowing your subscription to pass a Lock Date or placing an additional order after the effective date of the updated Terms, you agree to be bound by the revised Terms. If you do not agree to the updated Terms, you may stop your subscription prior to your next Lock Date and complete your current print run under the prior version of the Terms.
Checkbox Agreement & Electronic Acceptance: By checking the agreement box (or boxes) on our platform, enrolling in a subscription, or submitting payment, you acknowledge that you have read, understood, and agreed to these Terms, commit to taking delivery of and paying for the bags ordered printed for your account as displayed at checkout, and expressly authorize recurring charges to your card on file in accordance with your selected plan.
